By accessing our website, submitting an enquiry, or entering into a service engagement with us, you agree to be bound by these terms.

Acceptance of Terms

By accessing or using this website, submitting a contact form, requesting a quotation, signing a proposal, or engaging echoBitz for any service, you confirm that you have read, understood, and agreed to these Terms & Conditions. If you are agreeing on behalf of a company or organisation, you represent that you have the authority to bind that entity to these terms.

If you do not agree to these terms, please discontinue using the website and do not initiate any service engagement with us.

Forms & Contact

When you submit information through our contact forms, quotation requests, or career application forms, you confirm that the information you provide is accurate and complete. You are responsible for any information submitted through your browser or device.

Services Covered

These Terms & Conditions apply to all services offered by echoBitz, including but not limited to:

  • Odoo ERP implementation, customisation, migration, integration, and support.
  • SugarCRM and SugarAI implementation, customisation, and support.
  • Custom software development web applications, portals, and enterprise systems.
  • Website and web application development.
  • Mobile application development (iOS and Android).
  • API integrations and workflow automation using tools such as Tray.ai, n8n, and similar platforms.
  • Cloud services, DevOps, hosting support, deployment, and infrastructure monitoring.
  • Software testing and quality assurance (QA).
  • Dedicated developer and team hiring services.
  • IT consulting, technology strategy, and advisory services.
  • Training and onboarding for software platforms.
  • Ongoing support and maintenance services.
  • Internship and training programmes.

The specific scope of any service engagement will be defined in a written proposal, Statement of Work (SOW), project document, or formal agreement. These Terms apply alongside such documents.

Proposals, Quotations & Project Scope

  • All quotations and proposals provided by echoBitz are valid for the period stated in the document. After that period, the pricing, scope, and timeline may be revised.
  • The agreed scope of work is defined only by the written proposal, Statement of Work (SOW), project agreement, or documented emails confirming scope. Verbal discussions, informal chats, or meeting notes do not constitute an extension or change to the agreed scope.
  • Any requirement, feature, design change, integration, workflow, report, or business rule that was not included in the original agreed scope will be treated as a change request (see Section 11).
  • echoBitz may provide estimates based on the information available at the time of proposal. Final scope and pricing may be adjusted if the actual requirements differ significantly from what was originally discussed.

Client Responsibilities

Successful project delivery is a collaborative effort. To enable echoBitz to deliver on time and within scope, the client agrees to:

  • Provide timely approvals, feedback, and sign-offs at each project milestone.
  • Supply required business data, content, documents, branding assets, and specifications in a timely manner.
  • Share necessary credentials, system access, third-party accounts, or platform logins as required for the project.
  • Appoint a primary point of contact who can make decisions or escalate internally.
  • Provide accurate and complete information about business processes, workflows, and technical requirements.
  • Respond to queries, review deliverables, and provide test feedback within agreed timelines.

Delays caused by the client’s failure to fulfil these responsibilities may result in extended project timelines, revised delivery dates, or additional charges. echoBitz will not be held responsible for delays arising from client-side factors.

Project Delivery & Timelines

  • Timelines communicated in proposals or project plans are estimates, unless a fixed deadline has been explicitly agreed in writing.
  • Actual delivery timelines depend on the complexity of the scope, timely client inputs and approvals, technical dependencies, and the performance of third-party platforms.
  • echoBitz is not responsible for delays arising from Odoo or SugarCRM platform updates or limitations; third-party API restrictions or downtime; hosting, cloud, or payment gateway issues; app store review delays; or delayed inputs from the client or their other vendors.
  • Where a delay is within echoBitz’s control, we will communicate proactively and work to mitigate the impact.

Payment Terms

  • Payment terms and milestones will be defined in the proposal, invoice, or written agreement for each engagement.
  • An advance payment may be required before work commences on any project or service engagement.
  • echoBitz reserves the right to pause or suspend work if payment for a due milestone is not received within the agreed timeframe. echoBitz will not be liable for any delay or impact resulting from a payment-related pause.
  • All applicable taxes, including Goods and Services Tax (GST) as per Indian law, will be added to invoices as required.
  • Bank charges, international transfer fees, or payment gateway charges may be applicable and will be communicated in the proposal or invoice.
  • Payments made in foreign currency are subject to applicable conversion rates at the time of payment.

Refund & Cancellation

echoBitz provides professional services that involve time, expertise, infrastructure, and third-party costs. Given the nature of custom IT services:

  • Service fees are generally non-refundable once work has commenced on a project or engagement.
  • Refund or cancellation terms, if any, will be stated in the written proposal or agreement for that specific engagement.
  • Where a project is cancelled mid-way by the client, payment will be due for all work completed up to the date of cancellation, plus any expenses or third-party costs already incurred.
  • Custom development, Odoo/SugarCRM configuration and setup, consulting, deployment, training, and third-party software or licence costs are typically non-refundable once initiated.
  • If echoBitz is unable to deliver a service for reasons within our control and no work has commenced, we will discuss a fair resolution with the client.

This section covers custom service engagements (implementation, development, consulting). If your question is about a module or app purchased through our online Store, see Section 10 instead.

Store Purchases & App Refunds

One-time purchases of downloadable Odoo apps and modules from our Store are covered by the Store Refund & Return Policy. Software purchases are generally final, with limited exceptions for unresolved core defects or significant advertised features that cannot be delivered. Refund requests must be made within 60 days of purchase.

Change Requests

A change request (CR) is any addition, modification, or removal of a feature, design, workflow, integration, report, automation, data migration rule, business process, or technical component that was not part of the original approved scope of work.

  • All change requests must be submitted in writing via email, project management tool, or formal CR form and will be reviewed for impact on cost, timeline, and resources.
  • No change request will be implemented without written approval from the client.
  • Change requests may result in additional charges and an updated project timeline. echoBitz will provide an impact estimate before proceeding.
  • Verbal requests for changes made during meetings or calls will not be actioned without written confirmation.

Intellectual Property

Client-Owned Materials

All content, branding, logos, trademarks, business data, documents, and materials provided by the client remain the property of the client. echoBitz will only use such materials to deliver the agreed services.

echoBitz-Owned Materials

echoBitz retains ownership of all pre-existing frameworks, code libraries, reusable components, internal tools, methodologies, templates, know-how, and development practices that echoBitz has developed independently or prior to the engagement. These are not transferred to the client as part of any project.

Project Deliverables

Upon receipt of full and final payment as agreed, echoBitz transfers ownership of the custom-developed deliverables to the client to the extent specified in the written agreement. This does not include echoBitz’s proprietary frameworks, pre-built modules, or reusable components incorporated into the deliverable, which remain licensed (not sold) to the client for use within the project.

Third-Party & Open-Source Software

Any third-party software, open-source libraries, or licensed platforms (including Odoo, SugarCRM, SugarAI, and associated modules or apps) incorporated into the deliverable remain subject to their respective licences and are not owned by echoBitz or the client beyond the terms of those licences.

Third-Party Tools & Services

echoBitz works with a range of third-party platforms and services in the course of delivering projects. These include, but are not limited to: Odoo, SugarCRM, SugarAI, Tray.ai, n8n, AWS, Google Cloud, Azure, DigitalOcean, Cloudflare, payment gateways, SMS/email API providers, app stores (Google Play, Apple App Store), analytics platforms, and other software services.

  • echoBitz is not responsible for the uptime, performance, pricing changes, policy changes, API restrictions, bugs, data handling practices, account suspensions, or service discontinuation of any third-party platform.
  • Where a third-party service is required for project delivery, the client is responsible for obtaining and maintaining valid accounts, licences, and subscriptions for those services unless otherwise agreed.
  • Any disruption caused by a third-party service that affects project timelines or deliverables will be communicated to the client, but echoBitz cannot be held liable for such disruptions.

Open Source & Third-Party Licences

  • Odoo is available under the LGPL (Community Edition) and the Odoo Enterprise Agreement (Enterprise Edition). The client must ensure they have the appropriate Odoo licence for their deployment.
  • SugarCRM and SugarAI are proprietary platforms with their own licensing and subscription terms. The client is responsible for compliance with those terms.
  • Other open-source libraries or frameworks used in project delivery are subject to their respective open-source licences (e.g., MIT, Apache, GPL).
  • echoBitz can provide guidance on licensing requirements, but cannot accept responsibility for the client’s compliance with third-party licence obligations.

Website Content Accuracy

  • The content on this website including service descriptions, technology mentions, pricing indications, and timelines is for general information purposes and is subject to change without prior notice.
  • Service descriptions on the website represent general capabilities and do not constitute a commitment to deliver a specific feature or outcome in every engagement.
  • The final scope, timeline, and pricing for any project are determined solely by the written proposal, agreement, or SOW provided to the client.

Confidentiality

Both parties understand that in the course of a project or business engagement, they may become aware of confidential and proprietary information belonging to the other party.

  • echoBitz will treat all client business data, access credentials, technical specifications, financial information, and project details as confidential and will not disclose them to third parties without the client’s consent, except where required by law.
  • The client agrees to treat echoBitz’s methods, processes, pricing, internal tools, and business information as confidential.
  • echoBitz may share limited project information with sub-contractors or team members on a need-to-know basis, solely to deliver the agreed services.
  • For engagements that require a formal Non-Disclosure Agreement (NDA), this can be arranged as a separate document.

While we maintain strong confidentiality practices, we do not make absolute guarantees about the security of all information in all circumstances. Please refer to our Security section for further details.

Data Protection & Privacy

  • Personal information submitted through our website, contact forms, or project communications is handled in accordance with our Privacy Policy, available at www.echoBitzit.com/privacy.
  • Where a project involves processing personal data of the client’s employees, customers, or users, the client is responsible for ensuring they have the lawful right to share that data with echoBitz for the purposes of the project.
  • echoBitz will process such data only to the extent necessary to deliver the agreed services.
  • For international clients or projects involving personal data of EU/UK residents or individuals in other jurisdictions with specific data protection laws (such as GDPR), separate data processing agreements or DPAs may be required. echoBitz can assist in facilitating such agreements upon request.
  • echoBitz complies with applicable Indian data protection requirements, including obligations under the Information Technology Act, 2000 and the Digital Personal Data Protection Act, 2023 (DPDPA), where applicable.

Security

  • echoBitz follows reasonable and industry-standard security practices in the development, deployment, and maintenance of systems and in handling client data.
  • The client is responsible for maintaining the security of any credentials, system access, or logins shared with echoBitz or its team members. Credentials should be changed after project completion if desired.
  • No system, application, or network can be guaranteed to be completely secure. echoBitz does not warrant that systems built or maintained by us will be free from vulnerabilities at all times.
  • We recommend that clients implement strong password policies, multi-factor authentication (MFA), regular backups, role-based access controls, and timely software updates on their systems.

Support & Maintenance

  • Post-project support and maintenance services are provided based on the plan or agreement selected by the client. Support scope, response times, and inclusions vary by plan.
  • Standard support typically covers bug fixes and issues arising from work delivered by echoBitz within the agreed scope. It does not automatically include new feature development, third-party platform issues, infrastructure changes, or client-side configuration errors.
  • Enhancements, new features, additional integrations, performance optimisation, and emergency support outside the agreed plan are billable as separate engagements.
  • Response times and SLAs (Service Level Agreements) are applicable only where they have been explicitly agreed in writing as part of a support contract.
  • echoBitz is not responsible for service interruptions caused by third-party hosting providers, cloud platforms, or factors outside our direct control.

Warranty Disclaimer

echoBitz delivers services with professional care and in accordance with the agreed scope. However, we do not make the following warranties:

  • That the website or any delivered software will be uninterrupted, error-free, or completely free from bugs at all times.
  • That any software, ERP, CRM, or automation system will generate specific business outcomes such as increased revenue, cost savings, leads, rankings, or sales.
  • That third-party platforms, APIs, or services integrated as part of a project will perform without interruption or limitation.
  • That any delivered system will be compatible with all future platform updates, operating systems, or browser versions beyond the agreed scope.

Services are provided in a professional and workmanlike manner in accordance with the agreed scope and any applicable service standards. Any defects in delivered work that fall within the agreed scope will be addressed as part of the warranty period stated in the project agreement, where applicable.

Limitation of Liability

To the fullest extent permitted by applicable law:

  • echoBitz shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of profits, loss of data, loss of business opportunity, or business interruption even if echoBitz has been advised of the possibility of such damages.
  • echoBitz is not liable for damages or losses resulting from third-party platform failures, API restrictions, hosting downtime, or unauthorised access to client systems by third parties.
  • echoBitz’s total cumulative liability to the client for any claim arising out of or related to a specific service engagement shall not exceed the total fees paid by the client to echoBitz for that specific engagement.
  • Nothing in these Terms limits liability for fraud, death, or personal injury caused by negligence, or any other liability that cannot be excluded under applicable Indian law.

Portfolio & Case Study Usage

  • echoBitz may reference a client’s company name, industry, or project type in our portfolio, marketing materials, website, or case studies, unless the client has explicitly requested otherwise in writing.
  • We will not disclose confidential business processes, financial information, or technical details without the client’s prior consent.
  • If you prefer not to be mentioned in our portfolio or marketing materials, please notify us at info@echoBitzit.com or include this requirement in your project agreement. We will honour such requests in writing.

Internship, Career & Job Application Terms

  • Submitting a job application, internship application, or career enquiry through our website does not guarantee selection, interview, employment, or engagement with echoBitz.
  • Information provided in applications including name, contact details, qualifications, and experience will be used solely for recruitment and evaluation purposes.
  • echoBitz may contact applicants to request additional information or schedule interviews. We will not share applicant information with external parties for purposes unrelated to recruitment.
  • Internship and employment terms, stipends, responsibilities, duration, and other conditions will be governed by a separate offer letter or HR agreement issued at the time of selection.

echoBitz does not control or take responsibility for the content, accuracy, privacy practices, or policies of any external websites. Accessing such links is entirely at your own risk.

Termination & Suspension of Services

echoBitz’s Right to Suspend or Terminate

echoBitz reserves the right to pause, suspend, or terminate services in the following circumstances:

  • Non-payment of due invoices or milestones within the agreed period.
  • Breach of these Terms & Conditions or the written project agreement.
  • Use of echoBitz’s services for unlawful, fraudulent, or harmful activities.
  • Abusive, threatening, or inappropriate behaviour towards echoBitz team members.
  • Failure to cooperate or provide necessary inputs, access, or approvals over an extended period.
  • Discovery of a security risk, misuse, or illegal activity involving systems delivered or maintained by echoBitz.

Client’s Right to Terminate

The client may terminate a service engagement in accordance with the terms specified in the written agreement or proposal. In the absence of specific termination terms, reasonable written notice should be provided, and all amounts due for completed work and incurred expenses must be settled.

Outstanding Payments

Termination of an engagement by either party does not waive the client’s obligation to pay for all work completed, resources allocated, and third-party costs incurred up to the date of termination.

Governing Law & Jurisdiction

These Terms & Conditions are governed by and construed in accordance with the laws of India, including the Information Technology Act, 2000, the Indian Contract Act, 1872, and other applicable statutes.

Any disputes arising out of or in connection with these Terms, or any service engagement with echoBitz, shall be subject to the exclusive jurisdiction of the courts located in Gandhinagar / Ahmedabad, Gujarat, India.

For international clients: Nothing in this clause prevents either party from seeking urgent interim relief in their local jurisdiction where permitted. For enterprise engagements with specific legal requirements, jurisdiction terms can be discussed and formalised in a separate agreement.

  • echoBitz may update, revise, or modify these Terms & Conditions from time to time. The updated version will be published on this page with a revised effective date.
  • We recommend reviewing this page periodically to stay informed of any changes.
  • Your continued use of the website or continuation of an active service engagement after any updates are published will constitute your acceptance of the revised Terms.
  • For significant changes affecting active engagements, we will make a reasonable effort to notify clients directly.
